Basically its ODB1 versus ODB2.. The odb1 is aluminum (I believe) and the ODB2 is plastic. They are interchangeable, but, the hose that connects to the ICV is not the same. And you will have to do some modifications to make it fit. There is no benefit going to the ODB2 valve cover at all. I actually have the ODB1 cover on my S52 engine.

the coils are different in ODBII than ODBI
having 1999 M3 ODBII coils wouldnt that be an upgrade for a OBDI cars i am curious
another thing while interchanging you also had to get ODBI asket too right because in my case the m50 engine /vanos gasket couldnt fit in the ODBII valve cover
thanks

Well actually the oil fil location is in the front on ODB2 and in the rear on ODB1. The cover of course changes with that as well.

The coils would be an upgrade if yours do not. But past that, you would not fill any difference going with ODB2. The biggest difference in design is that they have two holes instead of 4..
