yea, i mean, someone may be able to pop up w/something else, but thats basically it, thats all you need to make it work, however you may consider doing some other mods, like suspension, just b/c the m3 engine is probably a bit heavier than the 2.5, might make your weight distribution a little bit off...

Brakes not nescesarilly, a good set of brake pads will do the same.
What is a vanos ecu? The wiring harness is the same.. and the exhaust will fit up.. If his ecu is a 413 he can even use this for a 95 M3 engine.. So really he just needs the engine.. Nothing else.
Yup. Just the engine. Since it is OBDI, it should just all be plug-n-play. You will probably need a chip for the S50 though, but that would be a good time in getting a performance chip from TMS, AA, or Dinan.

No chip needed.. The 95 M3 used the 413 and 506 ECU.. which is the same as the 95 325.. But, I would chip it just the same.

Hmm.. Maybe only the EU M3 engines have that... they have a 2 ECU's, one for the engine and one for the VANOS.
