You are supposed to replace both gasket rings when you install an exhaust. They are a one time use product. Turner Motorsport sells an entire exhaust installation kit for the e36, but it is 100.00. At least you can use it as a reference...e36 kit is on this page

It may not fix your problem, but it is a good place to start. Also while you're under the car, you could check to make sure your cat converter hangers and exhaust hangers are in good shape, and secure.
